Terms of Use

These Terms of Use (“Terms”) form an agreement between you and Ikigai, the operator of Prisma (“Prisma”, “we”, “us”). They apply when you visit prisma.ac, create an account, administer an organization, build a simulation, participate in an activity, or otherwise use Prisma. By using Prisma, you agree to these Terms. If you use Prisma on behalf of an organization, you confirm that you are authorized to bind that organization.

1. The service

Prisma is an AI-powered platform for conversation simulations, learning activities, research, training, feedback, and text analysis. Features may include simulation design, participant management, live observation, AI-generated responses, transcript storage, analysis, and export. We may improve, replace, or discontinue features. We will give reasonable notice when a material change is likely to significantly affect paid use.

2. Accounts and authority

You must provide accurate information, keep your credentials secure, and promptly tell us about suspected unauthorized access. You are responsible for activity carried out through your account. Administrators are responsible for assigning appropriate permissions and removing access when it is no longer required. You may not sell, transfer, or share an individual account.

3. Educational, research, and organizational use

Prisma supports professional work but does not replace a teacher’s judgment, research ethics review, safeguarding duties, employment procedures, or professional advice. The person or organization running an activity is responsible for its design, participant instructions, lawful basis, required notices and consent, accessibility, and appropriate human oversight. Researchers must follow applicable institutional review or ethics requirements. Employers must not rely on Prisma as the sole basis for decisions with legal or similarly significant effects.

4. Participants and minors

If an activity involves children or other people who require additional protection, the responsible school, institution, organizer, parent, or guardian must provide all required authorization and supervision. Do not ask participants to enter unnecessary identifying or sensitive information. A participant access link or code must be shared only with its intended users.

5. AI outputs

AI responses and analyses can be incomplete, inaccurate, biased, unexpected, or unsuitable for a particular purpose. You must review outputs before relying on or sharing them. Prisma does not provide medical, legal, psychological, financial, or other regulated professional advice. You must not use an AI output as the only basis for grading, hiring, discipline, diagnosis, treatment, or another high-impact decision about a person.

6. Acceptable use

You may not use Prisma to break the law or another person’s rights; harm, threaten, harass, deceive, or discriminate; exploit or endanger minors; create malware or evade security controls; gain unauthorized access; overload or disrupt the service; reverse engineer protected parts of the service except where law expressly permits it; or submit content you are not entitled to use. You may not represent AI-generated material as independently verified when it is not. Legitimate safety, academic, or security research conducted with appropriate safeguards is not prohibited merely because it examines sensitive topics.

7. Your content and Prisma materials

You retain the rights you hold in scenarios, instructions, documents, and other content you submit. You give Prisma a limited, non-exclusive license to host, copy, transmit, and process that content only as needed to provide, secure, support, and improve the service in accordance with the Privacy Policy and your settings. You are responsible for having the necessary rights and permissions. Prisma and its licensors retain rights in the platform, branding, software, and documentation. Feedback you voluntarily provide may be used without restriction or payment, without identifying you publicly.

8. Privacy and confidentiality

Our Privacy Policy explains how personal data is handled. An organization using Prisma may separately be responsible for participant data it chooses to collect. Do not place confidential information in Prisma unless you are authorized to do so and the selected features and providers are appropriate for that information. Where a separate data-processing or institutional agreement applies, it controls to the extent of a direct conflict concerning data processing.

9. Plans, credits, payment, and cancellation

Prices, included usage, taxes, renewal terms, and plan limits are shown before purchase or stated in an order. Subscriptions renew as disclosed at purchase until cancelled. Usage credits may expire or reset as described for the relevant plan and are not money. You authorize the payment provider to charge amounts when due. Except where law requires otherwise or an order says otherwise, fees already paid are non-refundable. Contact us promptly about billing errors. Mandatory cancellation and refund rights remain unaffected.

10. Suspension and termination

You may stop using Prisma and may request account deletion. We may restrict or suspend access when reasonably necessary to address a security risk, non-payment, unlawful conduct, material breach, harm to users or the service, or a legal requirement. Where practical, we will give notice and an opportunity to remedy the issue. We may terminate an account for a serious or repeated breach. Provisions that by their nature should continue—including ownership, payment obligations, disclaimers, and liability limits—survive termination.

11. Availability and third-party services

We work to keep Prisma reliable and secure, but availability is not guaranteed. Maintenance, failures, internet conditions, and third-party AI, hosting, email, or payment services can affect operation. Third-party services may have their own terms. We are not responsible for changes or failures outside our reasonable control, but this does not limit responsibilities that cannot lawfully be excluded.

12. Disclaimers and liability

To the extent permitted by law, Prisma is provided “as is” and “as available”, without implied warranties of uninterrupted operation, fitness for a particular purpose, or accuracy of AI output. We are not liable for indirect, incidental, special, or consequential loss, or loss of profits, data, opportunity, or goodwill. Our aggregate liability arising from Prisma will not exceed the greater of the amount you paid for Prisma during the 12 months before the event giving rise to the claim or ILS 500. These exclusions do not apply to fraud, wilful misconduct, death or personal injury caused by negligence, or any right or liability that applicable law does not allow us to exclude or limit.

13. Governing law and disputes

These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law rules. Courts with jurisdiction in Tel Aviv–Jaffa, Israel will have jurisdiction, unless mandatory law allows you to bring a claim elsewhere. Before filing a claim, please contact us so we can try to resolve the matter informally. If you are a consumer, nothing in these Terms removes protections or remedies that cannot be waived under the law that applies to you.

14. Changes and general terms

We may update these Terms to reflect service, legal, or security changes. We will post the revised date and give registered users reasonable notice of material changes. If a change requires renewed consent, we will request it. If one provision is unenforceable, the remaining provisions continue. A delay in enforcing a right is not a waiver. These Terms, the Privacy Policy, and any applicable order or institutional agreement make up the agreement for use of Prisma.
